1. Acceptance of Terms

By accessing and using Paido ("the Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legal agreement between you and Paido (operating in the United Kingdom) and govern your use of our invoicing platform.

2. Description of Service

Paido is a cloud-based invoicing platform that allows businesses to:

  • Create and manage professional invoices
  • Manage client information
  • Track payments and revenue
  • Generate business reports
  • Calculate VAT and other taxes

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of entering into legally binding contracts to use this Service. By registering, you represent that you meet these requirements.

3.2 Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring that your account information is accurate and up-to-date

4. Subscription and Payment

4.1 Free Trial

We offer a 3-day free trial. You will not be charged during the trial period unless you upgrade to a paid plan. The trial automatically converts to a paid subscription unless cancelled.

4.2 Subscription Fees

Subscription fees are billed in advance on a monthly or annual basis. All fees are exclusive of VAT (where applicable), which will be added at the current UK rate.

4.3 Payment Processing

All payments are processed securely through Stripe. We do not store your full payment card details. By providing payment information, you authorize us to charge your payment method for all fees incurred.

4.4 Failed Payments

If a payment fails, we will attempt to process the payment again. If payment continues to fail, we may suspend or terminate your access to the Service.

4.5 Price Changes

We reserve the right to modify our pricing. We will provide at least 30 days' notice before any price changes take effect for existing subscribers.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, your access will continue until the end of your current billing period.

5.2 Refund Policy

In accordance with UK Consumer Rights Act 2015, you have the right to cancel within 14 days of purchase for a full refund. After this period, subscription fees are non-refundable except in cases of service failure or as required by law.

6. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal purpose
  • Violate any laws, regulations, or third-party rights
  • Transmit viruses, malware, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use the Service to send spam or unsolicited communications
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell or redistribute the Service without authorization
  • Impersonate another person or entity

7. Data and Content

7.1 Your Data

You retain all rights to the data you input into the Service ("Your Data"). You grant us a limited license to use, store, and process Your Data solely for the purpose of providing the Service.

7.2 Data Accuracy

You are solely responsible for the accuracy and legality of Your Data, including invoice information, tax calculations, and client details.

7.3 Data Backup

While we implement backup procedures, you are responsible for maintaining your own backup copies of Your Data.

8. Intellectual Property

The Service, including all software, design, text, graphics, and other content, is owned by Paido and protected by UK and international copyright, trademark, and other intellectual property laws.

9. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • Defects will be corrected
  • The Service is free of viruses or harmful components
  • Results obtained from the Service will be accurate or reliable
  • 10. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY UK LAW, AZ INVOICE SHALL NOT BE LIABLE FOR:

    • Any indirect, incidental, special, or consequential damages
    • Loss of profits, revenue, data, or use
    • Business interruption
    • Any damages arising from your use of the Service

    Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

    Nothing in these Terms excludes or limits our liability for: death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under UK law.

    11. Indemnification

    You agree to indemnify and hold harmless Paido from any claims, losses, damages, liabilities, and expenses arising from:

    • Your use of the Service
    • Your violation of these Terms
    • Your violation of any third-party rights
    • Your Data or content uploaded to the Service

    12. Termination

    We may suspend or terminate your account at any time for:

    • Violation of these Terms
    • Non-payment of fees
    • Fraudulent, abusive, or illegal activity
    • Extended periods of inactivity

    Upon termination, your right to use the Service will immediately cease. We will provide you with access to export Your Data for 30 days following termination, after which Your Data may be permanently deleted.

    13. Dispute Resolution

    13.1 Governing Law

    These Terms shall be governed by and construed in accordance with the laws of England and Wales.

    13.2 Dispute Resolution

    Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

    14. Changes to Terms

    We may modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

    15.1 Entire Agreement

    These Terms, together with our Privacy Policy, constitute the entire agreement between you and Paido.

    15.2 Severability

    If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

    15.3 Waiver

    No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

    15.4 Assignment

    You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
